1. Acceptance of Terms

By accessing or using the Arnis platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Arnis ("we," "us," or "our"). They govern your access to and use of the Arnis platform, including all features, APIs, integrations, and related services.

2. Service Description

Arnis is an AI-powered text messaging and appointment scheduling platform designed to engage leads through SMS before initiating phone calls. The Service includes, but is not limited to:

  • AI-driven SMS conversations with leads and contacts
  • Automated appointment scheduling through natural language
  • Call transfer and forwarding capabilities (call-first and forward-first modes)
  • Campaign management with configurable targeting, timing, and retry logic
  • Contact and list management with CSV import and API access
  • Self-learning AI with question templates and continuous improvement
  • Dashboard analytics, reporting, and data export
  • Webhook integrations for real-time event notifications
  • Phone number purchasing, management, and grouping

3. Deployment & Infrastructure

3.1 Single-Tenant Architecture

Each Client receives a dedicated, isolated installation of the Arnis platform. Your instance is completely separate from other clients' installations, ensuring full data isolation and independent configuration.

3.2 Carrier & Telephony Arrangements

Depending on the terms of your specific agreement with Arnis, telephony services may be provided in one of the following ways:

  • Arnis-Provided Carriers: We provision and manage telephony infrastructure (including Twilio accounts, phone numbers, and SIP trunking) on your behalf. Carrier costs are included in or billed alongside your service agreement.
  • Client-Provided Carriers: You supply your own telephony provider credentials (e.g., Twilio Account SID, Auth Token, API keys, SIP configuration). You are solely responsible for maintaining your carrier accounts, ensuring sufficient funds, and complying with your carrier's terms of service.

The specific carrier arrangement, associated pricing, and any telephony-related terms are defined in your individual service agreement or order form with Arnis. These Terms govern the platform itself; carrier-specific pricing and terms are addressed separately.

3.3 Configuration & Credentials

Your Arnis instance requires integration with third-party services (such as Twilio, OpenAI, SendGrid, and Stripe). You are responsible for providing valid credentials where applicable and for ensuring that your usage complies with each provider's terms and usage limits.

4. Accounts & Access

4.1 Account Levels

The platform operates with two user levels:

  • Super Admin: The platform administrator responsible for system configuration, API credentials, TCPA rules, pricing settings, and user management. The Super Admin also has full access to all platform features.
  • Admin: End-users who operate the platform for their business, including managing campaigns, contacts, phone numbers, lists, billing, and reports. Multiple Admin accounts may be created, and all Admins share access to the same data within the installation.

4.2 Account Security

You are responsible for maintaining the confidentiality of all account credentials. You agree to immediately notify us of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your credentials.

5. Messaging & Telecommunications

5.1 SMS & Calling

The Service sends and receives SMS messages and initiates phone calls on your behalf. You acknowledge and agree that:

  • All SMS messages and calls are sent using phone numbers configured within your instance
  • You have obtained all necessary consents from contacts before initiating communications
  • You are responsible for the content of all messages sent through the platform, including AI-generated messages
  • Message delivery is dependent on third-party carriers and is not guaranteed

5.2 Opt-Out Handling

The platform automatically processes opt-out requests from contacts using standard keywords (STOP, UNSUBSCRIBE, CANCEL, END, QUIT) and custom keywords you configure. When a contact opts out, the system immediately ceases communications. You agree not to circumvent or disable opt-out mechanisms.

5.3 Response Timing

AI responses are intentionally delayed (configurable by the Super Admin) to simulate natural conversation timing. This delay is a feature of the Service and not a deficiency in performance.

6. AI-Powered Features

6.1 AI Governance

The AI operates under strict governance rules designed to prevent hallucination and ensure compliance. The AI will not fabricate information, make promises or guarantees, discuss prohibited topics, or reveal that it is an AI assistant. However, AI-generated content may occasionally contain inaccuracies. You are responsible for reviewing campaign configurations and AI behavior.

6.2 Question Templates & Learning

The AI may log questions it cannot answer as "Campaign Questions." These remain within your isolated instance and are used to improve AI responses for your campaigns only. Answered questions become templates that the AI references in future conversations within your installation.

6.3 No Guarantee of Outcomes

While the AI is designed to qualify leads and schedule appointments, we do not guarantee any specific conversion rates, response rates, or business outcomes from the use of AI features.

7. Billing & Payments

7.1 Pricing

Pricing for the Arnis platform is determined on a per-client basis and is defined in your individual service agreement or order form. Pricing may vary depending on factors including your carrier arrangement, usage volume, features enabled, and negotiated terms. The per-SMS cost, if applicable, is configured within your instance by the Super Admin.

7.2 Pre-Paid Credits

Where applicable, the platform uses a pre-paid credits model. SMS usage (both inbound and outbound) is deducted from your account balance in real-time. You are responsible for maintaining a sufficient balance to continue sending messages. When your balance reaches zero, SMS sending is paused until credits are added.

7.3 Auto Top-Up

If you enable auto top-up, your payment method will be charged automatically when your balance falls below the configured threshold. You authorize these recurring charges when enabling this feature.

7.4 Payment Processing

All payments are processed through Stripe. We do not store your credit card information directly; all payment data is handled by Stripe in accordance with PCI-DSS compliance standards. You agree to Stripe's terms of service when providing payment information.

7.5 Non-Refundable Purchases

All purchases made through the Arnis platform are non-refundable. This includes, without limitation:

  • Usage credits: All pre-paid messaging and usage credits are non-refundable once purchased, whether or not the credits have been used
  • Monthly subscription payments: All recurring plan payments, regardless of plan type or usage level, are non-refundable for the billing period in which they were charged. Cancellation of a subscription takes effect at the end of the current billing cycle; no partial or prorated refunds will be issued
  • Phone number purchases: Any phone numbers purchased through Arnis or provisioned through our carrier partners are non-refundable. This applies to one-time number acquisition fees as well as any recurring number rental costs that have already been billed

By making a purchase on the platform, you acknowledge and agree to this no-refund policy. In rare and exceptional circumstances, refund requests may be reviewed at our sole discretion, but Arnis is under no obligation to issue any refund.

8. Compliance & TCPA

8.1 TCPA Compliance

The platform includes built-in TCPA (Telephone Consumer Protection Act) compliance features, including state-specific calling hour restrictions, timezone detection, business hours enforcement, and holiday restrictions. However, these features are tools to assist with compliance and do not constitute legal advice.

8.2 Your Responsibility

You are solely and fully responsible for ensuring that your use of the Service complies with all applicable federal, state, and local laws and regulations, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)
  • The CAN-SPAM Act
  • State-specific telemarketing and consumer protection laws
  • Industry-specific regulations applicable to your business
  • Obtaining and maintaining proper consent from all contacts
  • Do-Not-Call (DNC) registry compliance

You acknowledge and agree that Arnis is a technology platform and does not control or direct the content, recipients, timing, or volume of your campaigns. You bear full legal responsibility for all messages sent and calls made through your account. If any regulatory body, government agency, or third party brings a complaint, claim, fine, or lawsuit related to your use of the platform, including but not limited to allegations of unsolicited communications, spam, or TCPA violations, you accept sole liability for those actions. Arnis shall not be held responsible for any legal consequences arising from your outreach activities conducted through the Service.

We strongly recommend consulting with legal counsel to ensure your campaigns and messaging practices are fully compliant with all applicable laws.

8.3 TCPA Configuration

The platform provides configurable TCPA hours by state and day of week. Default settings are based on federal guidelines, but some states have stricter rules. You are responsible for verifying that your TCPA hour configurations are accurate and up to date with current regulations.

9. Data Ownership & Isolation

9.1 Your Data

You retain full ownership of all data you upload, create, or generate within the platform, including contacts, conversation histories, campaign configurations, and reports. We do not claim any ownership rights over your data.

9.2 Data Isolation

Due to our single-tenant architecture, your data is fully isolated from other clients. Your contacts, conversations, campaigns, and all other data reside exclusively within your dedicated installation.

9.3 Data Portability

You may export your data at any time using the platform's built-in export features (CSV export for reports, contacts, and transaction history) or via the API.

10. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited messages or spam to contacts who have not provided consent
  • Engage in any activity that violates applicable laws or regulations
  • Transmit content that is harassing, threatening, defamatory, obscene, or otherwise objectionable
  • Attempt to circumvent opt-out mechanisms, TCPA restrictions, or other compliance features
  • Use the platform for any fraudulent, deceptive, or misleading purposes
  • Interfere with, disrupt, or attempt to gain unauthorized access to the platform's infrastructure
  • Reverse-engineer, decompile, or disassemble any portion of the platform
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Exceed the contact limits or usage limits configured for your installation

We reserve the right to suspend or terminate your access for violations of this section.

11. Intellectual Property

The Arnis platform, including its software, design, AI models, algorithms, user interface, documentation, and all related intellectual property, is and remains the exclusive property of Arnis. These Terms do not grant you any ownership interest in the platform.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during the term of your agreement.

12. Third-Party Services

The Service integrates with third-party providers including Twilio (telephony), OpenAI (AI conversation generation), SendGrid (email notifications), and Stripe (payment processing). Your use of these services through the platform is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or performance of any third-party services. In the event of a third-party service disruption, we will make reasonable efforts to restore functionality but cannot guarantee uninterrupted service.

13. Disclaimers & Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy of AI-generated content, message delivery rates, or call connection rates.

14. Limitation of Liability

To the maximum extent permitted by law, Arnis shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to Arnis in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless Arnis, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, fines, penalties, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

  • Your use of the Service, including all campaigns, messages, and calls initiated through your account
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including TCPA violations, Do-Not-Call violations, and state telemarketing laws
  • The content of messages sent through the platform on your behalf, whether composed manually or generated by AI
  • Any claim, complaint, or lawsuit by a third party, contact, consumer, or regulatory body related to your outreach activities
  • Any allegations of unsolicited communications, spam, or harassment resulting from your use of the platform
  • Failure to obtain or maintain proper consent from contacts before initiating communications

This indemnification obligation survives the termination of your account and these Terms.

16. Termination

Either party may terminate the service agreement in accordance with the terms specified in your individual service agreement or order form. Upon termination:

  • Your access to the platform will be disabled
  • Active campaigns will be stopped and no further messages or calls will be initiated
  • You may request an export of your data within 30 days of termination
  • After 30 days, your data may be permanently deleted from our systems
  • Any outstanding balance obligations remain due and payable

We reserve the right to immediately suspend or terminate your access if you violate these Terms or engage in conduct that may harm us, other users, or third parties.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the platform or via email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.
